Sara E. Wolf Associate
Sara has worked on matters of entity formation, structuring and reorganization; pre-financing corporate cleanup; general governance and employment and compensation matters, including issuing stock options and restricted stock grants. She has drafted convertible notes and simple agreements for future equity and ancillary transaction records such as certificates, side letters, and board and shareholder consents.
She has reviewed and drafted National Venture Capital Association (NVCA) documents for venture financings, including term sheets, stock purchase agreements, voting, investors rights and right of first refusal and co-sale agreements. She has also managed federal securities filings; ensured blue sky compliance; and maintained capitalization tables; and critically, Sara has conducted due diligence and conferred with company executives to prepare disclosure schedules in financing transactions.
Sara has assisted clients with both drafting and negotiating nearly all types of agreements, from non-disclosure, operating, lease, master service, distribution, employment, asset and stock purchase agreements, and indemnification agreements to other intellectual property, financing and technology-related contracts.
While a visiting J.D. candidate at the University of California Los Angeles School of Law, Sara was a law clerk and a legal affairs intern in the broadcasting and music industry in Los Angeles, handling various music license deals including music composition and work-for-hire agreements; and analyzed contracts for renegotiation and renewal. She also assisted with general transactional matters, including drafting employment contracts and script purchase agreements, and with intellectual property issues.
While in law school, Sara was a judicial extern for the Honorable Alan B. Honeycutt of the Los Angeles Superior Court.
