For decades, clients have turned to Glenn for transactional counsel in a variety of matters involving a diverse cross section of industries. He represents local, regional, national and international businesses in virtually all areas of corporate law, acting, on many occasions, as their general legal adviser.

Since Glenn serves as a trusted business and legal counselor to many middle-market and emerging companies, he is regularly involved in forming corporations, partnerships and limited liability companies, structuring joint ventures, planning corporate reorganizations, counseling on personnel issues, and negotiating and drafting buy-sell, shareholder, licensing and financing agreements. He advises on matters that range from private placements, venture financings and loan agreements to the spectrum of M&A activity, including tax-free stock transactions, taxable cash/cash combination transactions and management buy-outs.

Glenn delivers important insight into guiding family-owned businesses. He has successfully negotiated and closed buy/sell agreements and developed succession plans, stock transfers and structured exit strategies — providing a comprehensive approach to representing and preserving the company today and for future generations.

Notably, Glenn delivers considerable focus in the recreational vehicle industry. He counsels RV manufacturers on a variety of issues, including dealer financing, intellectual property, regulatory compliance, warranty claims and product liability. He also represents suppliers and has led dozens of successful sales of companies, ranging from $1 million to significantly more than $500 million.

EXPERIENCE
  • Barnes & Thornburg represented a General Hospital in connection with its affiliation with another Health System, Inc. The merger created a regional health system with approximately 800 beds, covering a two-county area.
  • Represented hospital in connection with an affiliation with hospital in adjacent county to create a new hospital system governed by a new parent company. This affiliation resulted in a new healthcare system with over a billion dollars in total assets.
  • We have served as primary outside counsel to one of the nation’s leading recreational vehicle manufacturers when handling governance issues, product liability, warranty, vendor agreements, and matters pertaining to administration by the National Highway Transportation Safety Administration and the motor vehicle divisions in almost all of the 50 states.
