As co-chair of the Private Funds and Asset Management, Jahan provides counsel on investment and financing transactions of virtually all kinds, including private equity transactions, venture capital and growth equity investments, mezzanine capital, mergers and acquisitions, direct lending transactions, convertible instruments, recapitalizations, post-reorganization equity, private investments in public equity (PIPEs), special purpose acquisition companies (SPACs), joint ventures and other specialized investment structures.
He has completed transactions in a wide range of industries, including software and technology, healthcare, medical devices, pharmaceuticals, media and internet, real estate development, financial services (including marketplace lending), litigation finance, consumer retail and franchised businesses, with extensive experience doing deals in the U.S. and around the world.
In the course of these transactions, Jahan leverages his broad knowledge and experience in negotiating appropriate rights and protections, whether for minority or majority investors, for investment syndicates or for management. In structuring investments, Jahan is sensitive to his clients’ needs to both manage risk and realize returns, looking for opportunities to help them minimize or hedge transaction risk and post-closing exposure, while preserving economic upside and providing a market-efficient exit mechanism.
Jahan assists with the formation and structuring of new private investment funds and complex investment vehicles and represents fund sponsors and investors in negotiating seed investments in new management companies and new funds.
Understanding market standards for nondisclosure and confidentiality agreements, Jahan also advises clients on complex issues relating to the receipt of confidential information in both private and public investment situations.
