Barnes & Thornburg LLP’s technology transactions practice helps clients commercially exploit their intellectual property and preserve and defend their market advantages, both domestically and internationally.

We represent vendors in licensing and distributing technology of all types, including information technology, biotechnology and advance manufacturing processes. We also help vendors entering into development agreements, outsourcing agreements and other consulting and services engagements. Conversely, our attorneys advise clients who are acquiring rights to technology or entering into agreements to procure technology and related services. Our attorneys also assist with transactions seeking to commercialize technology developed by universities and others.

Our attorneys help clients capitalize on their online and electronic commerce opportunities. Members of our technology transactions group focus on all aspects of computer law, including software and hardware licensing and transfers, B2B and B2C, and outsourcing. Our lawyers negotiate licenses, assignments, and joint ventures; prepare distribution agreements; and draft related non-competition and confidentiality agreements. When competitors refuse to recognize the rights of our clients, our lawyers counsel clients on ways to protect their rights, including the use of litigation.
