Roy E. Hadley is a partner in the Atlanta office of Barnes & Thornburg LLP where he is a member of the firm’s Corporate Department and co-leader of the firm’s Cloud Computing and Cyber-Security practice team. He counsels clients in complex corporate and outsourcing transactions, with a focus on those transactions involving cloud computing, intellectual property, technology and information security. Mr. Hadley specializes in counseling c-level executives and boards on information security risk management.
Mr. Hadley’s day-to-day legal activities include assisting corporate clients in areas such as data security and privacy, technology and business process outsourcing, telecommunications, health information technology, electronic medical records, software development and licensing, and entertainment/new media. He also has experience in providing information security and technology accessibility assessments/audits, data breach remediation, electronic records management, e-discovery, and compliance training.
With a practice that is international in scope, he has overseen cross-border transactions involving technology transfers, the establishment of distribution channels, business processes and services, information security and privacy in places such as South and Central America, Africa, Asia-Pacific and the European Union. Mr. Hadley also focuses on business and immigration matters for clients, with a particular focus on African companies and the African Diaspora. He counsels American businesses on doing business in Africa and African companies seeking to do business in the United States.
Mr. Hadley has also helped clients establish and maintain corporate governance and compliance programs, and has extensive knowledge of risk management and insurance, mergers, acquisitions and regulatory matters. He has worked with cable and entertainment networks, telecommunications companies, financial institutions, sports franchises and start-ups with a focus on technology compliance, website review, digital rights, convergence and technology development and licensing. He also has significant experience in entertainment marketing, promotions and production, including advertising review and sweepstakes.
Prior to joining Barnes & Thornburg, Mr. Hadley served as vice president, general counsel and corporate secretary of AirGate PCS, Inc., and as the vice president, corporate counsel and chief privacy officer with WorldTravel BTI. Mr. Hadley has also served as in-house counsel for Turner Entertainment Group/ AOL Time Warner and MCI WorldCom. From 1993-1994, he served as special counsel to the president of the American Bar Association. Mr. Hadley received his B.B.A. in finance from the University of Georgia Terry College of Business in 1985. He earned his J.D. from the University of Georgia School of Law in 1988.
Mr. Hadley is a frequent lecturer and author and has been quoted in USA Today online, Compliance Week, Computerworld, Healthcare Risk Management, the Atlanta Business Chronicle, Inside Counsel magazine, the Journal of the Georgia Bar, Sports Page Weekly, Law 360, AmLaw Daily, and many other publications.
Mr. Hadley is involved in a number of professional and civic organizations. An Eagle Scout himself, Mr. Hadley is very active in the Boy Scouts of America and has a special interest in conservation, wellness, and environmental issues. He currently chairs the board of the Technology Association of Georgia’s (TAG) Information Security Society, and serves on the boards of the Chastain Park Conservancy, the Corporate Leadership Council of Fernbank Museum, and the Technology Association of Georgia Leadership Council. He also served as special assistant attorney general for the State of Georgia, on the board of the Atlanta Legal Diversity Consortium, and is a member of Buckhead Rotary, the Georgia Electronic Commerce Association’s (GECA) Privacy Working Group, the American Corporate Counsel Association, the Atlanta Chamber of Commerce’s Technology Marketing Council, the South Africa Business Chamber of Commerce, and the Atlanta and Georgia Bar Associations.
