Matt Gruenberg is a partner in the Corporate and Real Estate Departments of Barnes & Thornburg’s Los Angeles office. He focuses his practice on a wide range of transactional and regulatory matters and serves as the firm’s Franchise & Distribution Law Practice Group chair.

Mr. Gruenberg’s franchise clients are active in North America, Central and South America, the United Kingdom, Europe, Africa, the Middle East, Asia (including Russia, China, India, Philippines and Indonesia), Australia and Oceania. His clients range from start-ups to mature public companies in various industries including entertainment, financial services, food services, healthcare, hospitality, manufacturing, real estate, restaurant, sports, technology and textiles.

Mr. Gruenberg also has considerable experience in mergers and acquisitions, private equity transactions, and real estate transactions including the negotiation of leases and purchase and sale agreements for retail, multi-family, industrial, hotel, resort and casino properties. He has also negotiated and drafted large-scale commercial and ground leases, often involving complex tax, environmental, use and easement issues.

Since 2014, Mr. Gruenberg has been recognized by Franchise Times as a Legal Eagle. He serves as an editor for the American Bar Association’s Franchise Lawyer and has been a guest lecturer on International Business Transactions at the USC Gould School of Law.

Active in the legal community, Mr. Gruenberg is a member of the American Bar Association’s Forum on Franchising and Real Estate Section, the International Bar Association and the International Franchise Association.

He earned his J.D. from the University of San Diego, where he was an Alumni Scholar and completed externships with the United States Attorney’s Office and the Honorable Leo S. Papas at the United States District Court, S.D. Cal. He received his B.S. in Journalism from the University of Colorado, where he was captain of the men’s soccer team and an editor of the Campus Press.
