Underwriters have disclosure responsibilities to investors under federal and state securities laws.

Underwriters’ counsel may be engaged by the underwriters to:
  • Advise the underwriters about the financing;
  • Advocate the underwriters’ interests in the financing; and
  • Render an objective legal opinion regarding the issuer’s official statement or other disclosure document.
