Mina Amir-Mokri is a partner in Barnes & Thornburg LLP’s Chicago office and is a member of the Corporate, Labor & Employment and Finance, Insolvency and Restructuring Departments. Ms. Amir-Mokri focuses her practice in the areas of employee benefits and executive compensation. She has represented executives, public and private companies, tax exempt organizations and various bankruptcy constituencies in the negotiation, design, and drafting of executive compensation arrangements, stock option and other equity plans, retirement and other employee benefit plans, employment and other related agreements. Ms. Amir-Mokri has represented clients in challenges to employee benefit plans and executive compensation agreements during various phases of litigation. 

Benefits and Compensation Counseling and Compliance

Ms. Amir-Mokri routinely counsels clients on employee benefit plans and executive compensation arrangements, including matters arising under Internal Revenue Code Sections 280G and 409A, Title I and Title IV of ERISA, COBRA, HIPAA, and PPACA, Dodd-Frank and Sarbanes Oxley. She advises clients on fiduciary duties and the plan asset regulations under ERISA, and on compliance and correction of violations under ERISA and the Internal Revenue Code.

Mergers and Acquisitions

Ms. Amir-Mokri has considerable experience representing private and public company clients on benefits and compensation matters in mergers and acquisitions, including negotiating and drafting representations, warranties and covenants in merger and purchase agreements, transition services agreements, disclosures, consents and other ancillary documents, and employee communications. She has prepared comprehensive reports and spreadsheets analyzing costs, compliance issues and risks associated with non-compliance.

Restructuring

Ms. Amir-Mokri has advised on compensation and benefits matters in Chapter 11 reorganizations and Chapter 7 liquidations. She has represented clients in distress terminations under Title IV of ERISA, controlled group issues, and actions under Bankruptcy Code Sections 1114 and 503(c).

Regulatory Agencies and Internal Investigations

Ms. Amir-Mokri has conducted internal investigations and audits to assess compliance under ERISA for clients. She has represented clients through various stages of investigation and enforcement before the U.S. Department of Labor, the IRS and the PBGC.

Prior to joining Barnes & Thornburg LLP, she was a partner at Edwards Wildman Palmer LLP and at Sonnenschein Nath & Rosenthal LLP in Chicago. Before entering private practice, Ms. Amir-Mokri was an auditor with the U.S. Department of Labor – Employee Benefits Security Administration, where she conducted civil and, working with federal prosecutors, criminal investigations, involving employee benefit plans.
