Disclosure Counsel

Issuers and borrowers have disclosure responsibilities to investors under federal and state securities laws.

Disclosure counsel may be engaged by the issuer or borrower to:
  • Advise the issuer or borrower about disclosure matters;
  • Advocate the issuer’s or borrower’s interests in disclosure matters; and
  • Render an objective legal opinion regarding the official statement or other disclosure document.
